Terms of Service

1. Agreement to Terms

By accessing or using BOMEO ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all users, including business owners, employees, and any other individuals accessing the Service on behalf of a business.

2. Description of Service

BOMEO is a business management platform that provides:

  • Point of Sale (POS) functionality
  • Inventory management
  • Invoicing and expense tracking
  • Customer and credit tracking
  • AI-powered business insights
  • WhatsApp integration for receipts and notifications
  • Reporting and analytics

The Service is designed to work offline and sync when connectivity is restored.

3. Account Registration

To use BOMEO, you must:

  • Be at least 18 years old
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activities under your account

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription and Payments

4.1 Pricing

BOMEO offers subscription plans as displayed on our pricing page. Prices are displayed in your local currency based on your account region.

4.2 Free Trial

New accounts receive a 14-day free trial. No payment information is required to start. At the end of your trial, you must subscribe to continue using the Service.

4.3 Billing

  • Subscriptions are billed in advance on a monthly or annual basis
  • All fees are non-refundable except as required by law
  • We may change pricing with 30 days' notice
  • Failed payments may result in service suspension

4.4 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You retain access until then.

5. Your Data

5.1 Ownership

You retain ownership of all business data you enter into BOMEO, including inventory records, sales transactions, and customer information.

5.2 License to BOMEO

You grant BOMEO a limited license to use your data solely to:

  • Provide and improve the Service
  • Generate insights and recommendations for your business
  • Create anonymized, aggregated analytics (which cannot identify you or your customers)

5.3 Data Export

You may export your data at any time through the Service's export features. Upon account termination, we provide 30 days to export your data before deletion.

5.4 Privacy

Our handling of your data is governed by our Privacy Policy, which is incorporated into these Terms.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Transmit malware, viruses, or harmful code
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service
  • Use the Service to send spam or unsolicited communications
  • Resell or redistribute the Service without authorization
  • Use the Service to process transactions for illegal goods or services

7. Intellectual Property

The Service, including its design, features, and content (excluding your data), is owned by BOMEO and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

"BOMEO" and our logo are trademarks. You may not use them without authorization.

8. Third-Party Services

BOMEO integrates with third-party services (e.g., WhatsApp, payment processors, e-commerce platforms). Your use of these services is subject to their respective terms. We are not responsible for third-party services.

9. Service Availability

We strive for high availability but do not guarantee uninterrupted service. The Service may be temporarily unavailable for:

  • Scheduled maintenance (we'll provide advance notice when possible)
  • Emergency maintenance or security updates
  • Factors beyond our control (internet outages, natural disasters)

BOMEO's offline functionality ensures you can continue core operations during connectivity issues.

10. Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided "as is" without warranties of any kind
  • We are not liable for indirect, incidental, special, or consequential damages
  • Our total liability is limited to the amount you paid us in the 12 months preceding the claim
  • We are not responsible for data loss due to your actions or factors beyond our control

These limitations apply even if we have been advised of the possibility of such damages.

11. Indemnification

You agree to indemnify and hold harmless BOMEO, its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Content or data you submit through the Service

12. Termination

We may suspend or terminate your access to the Service immediately if you:

  • Violate these Terms
  • Engage in fraudulent or illegal activity
  • Fail to pay applicable fees
  • Pose a security risk to the Service or other users

Upon termination, your right to use the Service ceases. Provisions that should survive termination (e.g., intellectual property, limitation of liability) will continue in effect.

13. Dispute Resolution

Any disputes arising from these Terms or the Service shall be:

  • First attempted to be resolved through good-faith negotiation
  • If unresolved, submitted to mediation in Lagos, Nigeria
  • Governed by the laws of the Federal Republic of Nigeria

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance. If you disagree with changes, you must stop using the Service.

15. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and BOMEO.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • Waiver: Failure to enforce any provision does not waive our right to enforce it later.
  • Assignment: You may not assign these Terms. We may assign them in connection with a merger or acquisition.
